Quintessence Projects SA |Terms and Conditions

We are delighted that you decided to book a trip with Quintessence Projects SA, a Swiss company with its registered address at rue de Jargonnant 2, c/o N.A.T. Services SA, 1207 Genève. In this document the terms “we”, “us”, “our” refer to Quintessence Projects SA, and the terms “you” or “yours” refer to the person(s) indicated in the Booking Confirmation as well as all other participants included in the booking. Please read carefully these general terms and conditions (“GTC”), which form part of your contract with us, together with your Booking Confirmation.

1.Your Trip

What Is Included and What Is NotAt Quintessence, we are specialized in organizing Sports and Health Retreats.Your Booking Confirmation contains all the necessary information about your trip, including dates, location, type of accommodation, prices, and all the services which are included in your package. Depending on your specific booking, our services will include accommodation, meals and/or group activities (fitness, yoga, training, etc). Please verify carefully your Booking Confirmation and inform us immediately if you consider that it contains any error. Services which are not mentioned in your Booking Confirmation are not included in your package. We will try our best to accommodate your requests and provide you with those services, but they will be billed extra (e.g. spa treatments). Unless otherwise expressly stated, our services only start when you arrive at the place indicated in your Booking Confirmation; we do not organise transports/flights, nor do we advise on schedules or recommend specific companies. Your punctual arrival at the designated location is your sole responsibility. You are also solely responsible for carrying out the necessary formalities and for obtaining the necessary documents in order to go there and be able to participate in the activities (e.g. visa, vaccine, insurance, medical certificate, etc.).Moreover, our prices exclude flights, travel insurance and tips. Also excluded are any trips, excursions or extra treatments arranged by yourself during your holiday.

2.Booking Process and Payment

Upon making a booking with us, you will have to pay a non refundabledeposit of 50% of the total cost of your holiday. The balance of the price shall be paid at least 30 days prior to your arrival date. For bookings made within 30 days of arrival, the full payment is immediately due.We will send you a confirmation of your booking after having received the deposit and checked your request (the “Booking Confirmation”). Your booking is considered definite and a contract will exist between you and us only when the deposit has been received (or, in the case of bookings made less than 4 weeks prior to arrival, when full payment is received) anda booking confirmation is sent to you. No contract will exist between us prior to our issuing of the Booking Confirmation. Kindly note that we cannot guarantee prices or the availability of the requested services before the effective conclusion of the contract.If you fail to pay your deposit or the balance in full by the due date, then you will be deemed to have cancelled your holiday and the cancellation charges stipulated in clause 4 will apply in full.

3.Booking for Other Participants

If you register other participants, you are responsible for their contractual obligations toward us, in particular the payment of the due price and full compliance with these GTC. You are not allowed registering people under 18 years old, or which are unfit for the requested services. The terms of the Booking Confirmation and these GTC are valid and biding upon all persons taking part in the holiday. Kindly note that pets are not allowed during your stay with us.

4.Cancellation

You have to inform us in writing as soon as practicable if you decide to cancel your holiday. Cancellation will take effect the day we receive your notification. As cancellation incurs administrative costs, we will retain your deposit and, in addition, may apply cancellation charges up to the maximum shown below:Cancellation Charges:−30 days or more before arrival: Deposit only−15-29 days before arrival : 75% of holiday cost−Less than 15 days before arrival : 100% of holiday costThere will be no refund (or part refund) if you cancel your holiday (or a part of it) after your arrival. This applies to all activities or other services you cannot take part to. We recommend you to take out your own insurance including a cancellation protection. If the reason for cancellation is covered under the terms of your insurance policy, you may be able to reclaim these charges. Under no circumstances will we be able to refund the cost of your holiday, your flights or other travel arrangements.

5.Changes

We May Make to Your Booking Prior to Your Arrival(a)Services ProvidedWe do not expect to have to make changes to your booking after sending you your Booking Confirmation. This being said, we offer outdoor activities which may not be available during your stay due to weather conditions or other factors. Moreover, we plan ourservices many months in advance; hence occasionally, changes may have to be made (e.g., to itineraries, accommodation, chefs, personal trainers, teachers or other arrangements), which we reserve the right to do at any time. Changes are normally minor and we will advise you at the earliest possible date. If a significant change becomes necessary, we will inform you as soon as reasonably possible if there is time before your arrival to do so. We will then make prompt efforts to find appropriate solutions. In case of a significant change, you will have the choice of either:−accepting the change of arrangements, −booking another holiday with us (see below), or −cancelling your holiday and receiving a full refund of all amounts paid to us. If you choose another of our trips that is more expensive you must pay any difference, but if it is cheaper, we will make the appropriate refund.Refunds will not apply if we did not receive your payment for the holiday by the stipulated payment date. Refunds will also notbe paid if cancellation is due to unusual or unforeseeable circumstances beyond our control such as war, threat of war, riot, civil strife, industrial dispute, terrorist activity, natural or nuclear disaster, epidemics and pandemics, fire, adverse weatherconditions, technical or maintenance problems with transport, or other circumstances which amount to force majeure.(b)Cancellation by UsWe reserve the right in any circumstances to cancel your holiday, in which case we will offer you the same rights as stipulated above under clause 5(a) in case of significant changes. In particular, we might have to cancel your holiday if the number of persons enrolled 15 days prior to the arrival day does not meet the minimal threshold. We will inform you as soon as practicable of the cancellation and refund you any payment you send us or provide you with an alternative date (except if cancellation is due to force majeure). We will bear no other liability in such instances.

6.Complaints and Changes During Your Holiday

(a)Complaints

If you perceive any problem during your holiday, please inform a member of our team immediately. We will make prompt efforts to find appropriate solution. If you do not inform us, we will have been deprived of the opportunity to investigate andrectify your complaint whilst you were on site and this may affect your rights in bringing a claim against us. If your complaint cannot be resolved locally, you must advise us in writing on your return within 10 days giving your booking reference numberand other relevant information.

(b)Changes During Your Stay

If, after having received your complaint, it appears that a significant proportion of the services contracted for cannot be provided, we will try our best to find suitable alternative arrangementsfor the continuation of your holiday. We may for instance replace outdoor activities by indoor ones or provide different trainings with different teachers. We may also elect to compensate you for the services which were not available; the quantum of the refund corresponding to the difference between the services offered and those supplied. However, refunds will not apply if the failure to provide such services is due to unusual or unforeseeable circumstances beyond our control such as war, threat of war,riot, civil strife, industrial dispute, terrorist activity, natural or nuclear disaster, epidemics and pandemics, fire, adverse weather conditions, technical or maintenance problems with transport, or other circumstances which amount to force majeure. Moreover, no refund will be made for outdoor activities which cannot be carried out due to bad weather conditions or other similar factors.

7.Insurances

The price of your holiday does not include any travel insurance. It is your responsibility to have a fulltravel insurance covering all activities contemplated during your stay. It is highly recommended that your insurance also covers the cost of cancellation or the cost of assistance, including repatriation, in the event of accident or illness. You are required to bring with you a copy of your insurance policy in case of emergency.We have arranged suitable public liability insurance that will cover you for accidents that occur during the activities we have arranged during your holiday that are caused by anynegligence on the part of our employees or suppliers.

8.Liability

We will use our best endeavour to fulfil our contractual obligations in a manner that is satisfactory to you, based on reasonable standards. Our potential liability arising from the non-performance or improper performance of the contract is subject to the following conditions:

Personal injuries.

We accept responsibility for personal injuries caused to you by our employees, agents or sub-contractors whilst acting in the course of this contract. We will, accordingly, pay to our clients such damages as might have been awarded in such circumstances under Swiss law. In any case, compensation is limited to direct and foreseeable damage

Other damages.

We accept responsibility for the other damages caused to you by our employees, agents or sub-contractors whilst acting in the course of this contract, provided such damages are direct and foreseeable. However, our liability in this respect is reduced to double the amount of the total price of the package (except in case of wilful conduct or gross negligence).

Limitations.

Notwithstanding the foregoing, we are not responsible for any damage or personal injury:-resulting from any failure in the performance of the contract due to (i) you (ii) or a third party unconnected with the provision of this agreement (iii), or where the failure is unforeseeable or unavoidable or unusual and beyond our control.

-which fall outside the scope of our contractual obligations toward you, for instance if caused during optional trips or activities which you booked locally that are not our responsibility, in case of theft while on site, etc.

Valuables.

We strongly recommend you to keep your valuables at home, as they will be of no use to you during your stay. In all events, it is your responsibility to securely store your valuables. We accept no responsibility in case of loss or theft.

Accepted Risks.

By taking part to the activities, you agree to bear the inherent risk related to them. We strongly recommend that you consult your doctor before travel to advise on your ability to undertake hiking, circuit training, any sort of sports activities and classes or any other physical activity we have arranged or you may arrange during your holiday. You should make him and us aware of any medical condition which may affect your ability and comfort when undergoing those activities. You cannot take part in activities without having the physical or psychic abilities. If you experience any injury or discomfort during any activity organised for you, then you must stop the activity immediately and advise your holiday host accordingly. We shall not be held responsible for any damage if you fail to comply with these obligations.

Assignment.

Even if we are liable to you, any payment by us is contingent to the fact that you are not compensated in another way, for instance by your insurer, and that you assign to us all your claims against the author of the damage and/or your insurer.

Missed benefits.

Repayment of unused services, services which were not provided or of your additional expenses is subject to the fact that we have not been able to offer you a service of equal value on the spot and that your liability is not involved. It is your responsibility to take all appropriate steps to reduce your damage and to immediately inform of any issue.

9.Governing Law and Jurisdiction

This agreement, including the Booking Confirmation and these GTC are governed by Swiss law. Any action shall be exclusively submitted to the courts at the registered office of our company, subject to mandatory law.
